Welcome to Go-UPC! These Terms and Conditions outline the rules for using our services, including our website (go-upc.com), subdomains, API, and mobile applications (collectively referred to as the "Services").

By accepting these terms or using our Services, you're agreeing to be bound by this agreement. If you're representing an organization, your acceptance binds that entity as well. Please read these Terms carefully before proceeding.

If you have any concerns or no longer agree with these Terms, please stop using our Services immediately and contact us.

1. Using Our API Services

Go-UPC provides API access through a tiered subscription model, with monthly plans that vary based on usage volume. Each plan includes a defined number of API requests per month, and overage fees apply if you exceed your plan’s quota. You can view current plan options at go-upc.com/plans/api.

In addition to monthly usage limits, API access is subject to a rate limit of 2 requests per second.

Upon subscribing, you will receive a unique API key and access to our API documentation. You are solely responsible for integrating the API with your system, including any development, testing, or ongoing maintenance work.

Product data returned from a valid API request may include GTINs, barcode types (UPC, EAN, or ISBN), product names, categories, and other product-related information. Responses are provided in JSON format. While we aim for broad and accurate coverage, we do not guarantee that every lookup will return data.

We reserve the right to decline or refuse an API subscription at our discretion.

2. Service Fees and Payment Terms

You agree to pay the service fees presented to you at the time of purchase for our services. We accept various payment methods, including credit cards (Visa, MasterCard, Amex, Discover), PayPal, check, or electronic ACH bank transfers. Please note that payment is required before we begin providing our services and is non-refundable.

Unless specified otherwise, all payments must be made in US dollars, exclusive of applicable taxes. You agree to pay these taxes according to the relevant laws. Our payment processing is handled by a third-party service provider, who may have additional terms and conditions that apply to your payment information.

Subscriptions renew monthly by default, unless otherwise agreed upon. To cancel, upgrade, or downgrade your subscription, you must do so by logging in to your account dashboard via go-upc.com/account/profile prior to your subscription renewal date. Please note that fees are subject to change with prior notice.

If we're unable to charge your card or your payment is declined, you will be responsible for updating/adding a valid payment method. If payment isn't made within one week after the invoice date, we reserve the right to terminate or suspend your subscription at our discretion.

3. Managing Your Account

When you sign up for our API services, we'll provide you with a unique API key (Login Information). It's your responsibility to keep this information confidential and secure. You're accountable for any activity conducted using your Login Information, whether authorized or not.

If you suspect unauthorized access to your account or notice any suspicious activity, please notify us immediately by emailing info@go-upc.com. This will help us take prompt action to protect your account.

Regarding free accounts, please note that you may only create one unless we provide explicit written consent otherwise. Additionally, you're not allowed to use bots, spiders, scripts, or other automated tools to access a free account.

When you sign up for an account, we grant you a limited, non-exclusive subscription to use our services. This allows you to make API calls, receive Product Data in response, and use our applications to search for and retrieve Product Data (collectively referred to as the "Subscription"). This agreement does not transfer any ownership or title; it only provides permission to use the Services under these Terms.

We reserve the right to suspend your subscription and associated account at any time without notice or compensation if we believe you've violated these Terms and Conditions. The decision to lift the suspension is at our sole discretion.

The subscription will terminate in the following situations: (a) if we terminate these Terms and Conditions or our services; (b) if you fail to pay outstanding amounts within one week; (c) if you request cancellation by emailing info@go-upc.com; or (d) if you don't comply with these Terms and Conditions. Upon termination, please delete all previously received Product Data. Please note that you're not entitled to a refund of any kind upon termination.

5. Authorized Use Policy

You agree to use our services responsibly and in accordance with these Terms and Conditions. Specifically, you may not:

  • * Use automated tools (bots, spiders, etc.) to collect content from our services without explicit permission or as part of authorized API usage.
  • * Resell, redistribute, or make publicly available the Services or Product Data obtained through our services.
  • * Replicate, mimic, or bypass the design, layout, or user experience of our Services.
  • * Attempt to decompile, disassemble, reverse-engineer, or disrupt the functionality of our services.
  • * Use our services for any activity that violates laws or regulations in your jurisdiction.
  • * Access our services without authorization, including attempting to use another user's account or exploiting vulnerabilities.

6. Intellectual Property Rights

Go-UPC retains full ownership of the Services and Product Data, including but not limited to copyrights, patents, trademarks, trade secrets, industrial designs, and utility models. Our rights are protected by laws in various countries and jurisdictions.

Please note that some elements within Product Data, such as product images and descriptions, belong to third-party owners ("Third Party Content"). These Terms and Conditions do not grant you permission to use Third Party Content. You must ensure your usage of Product Data does not infringe on the rights of these third-party owners. If you need permission for specific content, please contact the respective owner directly.

When providing data to us in connection with our services, you guarantee that you have the necessary permissions and rights. By doing so, you grant Go-UPC a non-exclusive, worldwide, perpetual license to use this data without requiring attribution, notice, or compensation.

If you are the owner of copyrighted materials, please follow these procedures for reporting infringement under the United States Digital Millennium Copyright Act (DMCA). We will respond to DMCA-compliant notices.

To file a valid notice with us:

  • 1. Identify the original copyrighted work claimed to be infringed.
  • 2. Describe and provide the location of the allegedly infringing material on our services.
  • 3. Include your contact details: address, phone number, and email address.
  • 4. State that you genuinely believe the use of the disputed material is not authorized by you, your agent, or applicable laws.
  • 5. Under penalty of perjury, confirm the accuracy of the information provided and attest that you are either the copyright owner or acting on behalf of the owner.
  • 6. Sign electronically or physically to prove authorization.

We may notify you if we remove any data due to a DMCA notice. If this occurs, please contact our designated DMCA agent at info@go-upc.com to file a counter-notification.

8. Disclaimer

We provide our Services on an "as is" basis. To the extent allowed by law, Go-UPC disclaims all warranties and conditions, whether express, implied, or statutory, including but not limited to:

  • * Merchantability
  • * Fitness for a particular purpose
  • * Non-infringement of third-party rights

Please note that we don't guarantee our Services won't infringe on any third-party rights, such as copyrights, patents, or trademarks.

Additionally, we make no representations about the following aspects of our Services:

  • * Meeting your specific needs
  • * Being uninterrupted, continuously available, accurate, error-free, or resulting in lost data
  • * Not harming computers or mobile devices

Any advice or information provided by Go-UPC, its affiliates, agents, contractors, directors, employees, officers, or partners should not be solely relied upon. You assume all risks related to the performance, operation, and quality of our Services.

Please note that some jurisdictions may not allow certain disclaimers, so this section might not apply to you in its entirety.

9. Limitation of Liability & Indemnity

You agree that Go-UPC won't be liable for any damages or losses arising from our Services. This includes consequential, incidental, or special damages; data loss; content loss; lost revenue or profits; or unauthorized account access.

Our maximum liability to you will be the greater of:

  • 1. The total fees you paid us in the 12 months preceding the harm date.
  • 2. $100 (USD).

You'll indemnify and defend Go-UPC against claims, liabilities, injuries, damages, costs, losses, or expenses arising from your use of our Services.

When we have a claim, we'll notify you promptly. At your expense, please give us all reasonable assistance.

Please note that breaching these Terms and Conditions would cause irreparable damage to Go-UPC. As such, we're entitled to seek equitable remedies in addition to other available options under applicable law.

10. Publicity

We may publicize our relationship by referencing your company as a Go-UPC customer in promotional materials, advertising, and similar publicity. In this regard, you grant us permission to use:

  • * Your name
  • * Logo
  • * Trademark
  • * Use case
  • * Case study

for such purposes without requiring compensation, notice, or authorization from you.

By agreeing to these Terms, you acknowledge that we have a non-exclusive, worldwide, royalty-free license to utilize your provided content in the mentioned contexts. This helps us showcase our successful collaborations and promote Go-UPC's services.

11. Privacy Policy

Please note that we collect information when you use our Services, as outlined in our comprehensive Privacy Policy (available at go-upc.com/privacy-policy). By using Go-UPC's services, you also acknowledge and agree to be bound by the terms of our Privacy Policy. We recommend reviewing it carefully for a clear understanding of how your data is collected and utilized.

12. Updates

We reserve the right to modify these Terms and Conditions, as well as our Privacy Policy, at any time without prior notice. You can find the most up-to-date versions on our website at go-upc.com/terms-and-conditions/.

By continuing to use Go-UPC's services after changes are made, you automatically agree to the updated terms. Unless otherwise specified, updates will be effective 10 days following their posting.

13. Governing Law

The interpretation, validity, and enforcement of these Terms and Conditions, along with our Privacy Policy, shall be governed in accordance with the laws of the United States. By agreeing to these Terms, you acknowledge that U.S. law will apply to any disputes arising from your use of Go-UPC's services.

14. Severability

If any part of these Terms and Conditions is found unenforceable or invalid by a court, that specific provision will be adjusted or interpreted to achieve its intended purpose as closely as possible under applicable law. The remaining provisions will remain in effect, ensuring the integrity of our agreement.

15. Entire Agreement

These Terms and Conditions represent a complete and comprehensive agreement between you and Go-UPC. They supersede any prior discussions, negotiations, or understandings related to your use of our services. By agreeing to these Terms, you acknowledge that they contain the entire understanding between us.
